Terms of Service

These Terms of Service (“Terms”) are a contract between you and Xunoia (“we”, “us”) for the TextBind website, dashboard, APIs, and related software (the “Service”). By creating an account or using the Service you agree to these Terms, the Privacy Policy, Acceptable Use Policy, and Data Processing Addendum where it applies.

1. The Service

TextBind lets you connect your own Meta WhatsApp Business Cloud API credentials, store authentications, declare HTTP or webhook actions, and process inbound WhatsApp messages through an allowlisted agent. We do not operate your WhatsApp Business Account and we do not provide a hosted phone number in the current product.

2. Accounts

• You must be 18 or older and able to form a binding contract.
• You are responsible for workspace members, API keys, and activity under your account.
• One v1 workspace is created per operator account unless we agree otherwise in writing.

3. Your WhatsApp and Meta relationship

You bring your own WhatsApp Business Account (“WABA”), phone number, tokens, and Meta App credentials. You are solely responsible for:

• Meta Business Terms, WhatsApp Business terms, and Commerce/tech-provider rules;
• template approval, display name, and quality rating;
• a valid payment method on file with Meta (required for service messages from 1 October 2026);
• all Meta per-message and template charges, taxes, and overages.

TextBind invoices you only for the software subscription described on the Pricing page. We never absorb Meta delivery fees.

4. Actions, authentications, and your APIs

You configure the URLs, schemas, and credentials the agent may call. You represent that you have the right to store those credentials and to call those endpoints. We encrypt secrets at rest and apply SSRF controls; we do not warrant that your downstream API is correct, available, or lawful. You must honor idempotency keys we send.

5. End users

People who message your number (linked users or guests) are your users. You must provide them any required notices, obtain consents, and handle unlink/block requests. We process their messages as your processor. See the DPA and Privacy Policy.

6. Acceptable use

You must follow the Acceptable Use Policy. We may suspend the Service immediately for abuse, legal risk, or Meta policy risk (including open-domain chatbots that are not structured business assistants).

7. Fees, taxes, and refunds

Subscription fees are billed in advance. Unpaid invoices may result in suspension. Taxes are extra unless stated. Refunds follow our Refund Policy.

8. Intellectual property

We own the Service. You own your content, action definitions, and data you send through the Service. You grant us a limited license to host and process that material solely to provide TextBind. Feedback may be used without restriction.

9. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only for the Service. Credentials, tokens, and unpublished security details are confidential.

10. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS.” WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted WhatsApp delivery, LLM accuracy, or that an action will have the business effect you intend.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XUNOIA’S TOTAL LIABILITY ARISING OUT OF THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR META FEES, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. These limits do not apply to fraud, death or personal injury caused by negligence where such exclusion is unlawful, or your payment obligations.

12. Indemnity

You will defend and indemnify us against claims arising from: your content and actions; your WhatsApp/Meta use; your end users; your APIs; or your breach of these Terms or applicable law.

13. Term and termination

You may stop using the Service at any time. We may terminate for material breach after notice where practicable, or immediately for AUP or legal risk. Upon termination we will delete or return personal data as described in the Privacy Policy and DPA, subject to legal holds.

14. Changes

We may update these Terms. Material changes will be posted on this page and, where required, notified by email. Continued use after the effective date is acceptance.

15. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Bengaluru, India have exclusive jurisdiction, except that we may seek injunctive relief anywhere to protect intellectual property or security.
